INTRODUCTION AND ACCEPTANCE OF THE TERMS<\/h3>\r\n\t<p>1.1. This instrument sets out the General Terms and Conditions of Use (\"Terms of Use\") that govern access to and use of the services, applications, corporate website and application programming interfaces (APIs) made available by SEVEN GLOBAL LTDA (\"Seven Global\"), registered under CNPJ No. 68.780.226\/0001-96, headquartered in the city of Curitiba, State of Paran\u00e1, Brazil.<\/p>\r\n\t<p>1.2. Use of the Seven Global platform, whether through the website (www.sevenglobal.app), mobile applications or technical integration, implies full, irrevocable and unreserved acceptance of all clauses and conditions of this instrument, as well as of Seven Global's Privacy and Data Protection Policy (LGPD) and its Compliance Policies in force.<\/p>\r\n\t<p>1.3. If the User does not agree with any provision set out herein, the User must immediately refrain from using the services, accessing the platform or carrying out any registration.<\/p>\r\n\r\n\t<h3>CLAUSE 2. APPLICABLE DEFINITIONS<\/h3>\r\n\t<p>2.1. For the purposes of interpreting and applying this instrument, the following definitions apply:<\/p>\r\n\t<ul>\r\n\t\t<li>User: An individual or legal entity duly registered, qualified and approved to use the solutions and tools made available by Seven Global.<\/li>\r\n\t\t<li>Platform: The digital environment, web pages, software, APIs and systems owned or licensed by Seven Global for conducting financial technology operations.<\/li>\r\n\t\t<li>Cross-Border Transaction: The cross-border transfer or settlement of funds between different international jurisdictions.<\/li>\r\n\t\t<li>Digital Assets \/ Stablecoins: Stable digital representations of value (such as USDC and USDT) pegged to sovereign fiat currencies, used as a technological rail for fast and efficient settlement.<\/li>\r\n\t\t<li>Regulated and Settlement Partners: Financial institutions, credit companies, payment institutions and entities authorized to operate in foreign exchange and CaaS (Crypto-as-a-Service) infrastructure by the Central Bank of Brazil (BACEN) or foreign monetary authorities, duly integrated with Seven Global.<\/li>\r\n\t\t<li>KYC \/ KYB (Know Your Customer \/ Business): Procedures for identifying, conducting due diligence on and qualifying customers and companies to prevent fraud.<\/li>\r\n\t\t<li>KYT (Know Your Transaction): Continuous preventive monitoring of transaction flows focused on Anti-Money Laundering and Counter-Terrorist Financing (AML\/CTF).<\/li>\r\n\t<\/ul>\r\n\r\n\t<h3>CLAUSE 3. NATURE OF THE SERVICES AND REGULATORY FRAMEWORK<\/h3>\r\n\t<p>3.1. Seven Global operates primarily as a technology-based company and payment infrastructure facilitator, providing correspondent services for financial institutions (CNAE 66.19-3-02), software development and licensing, and data processing.<\/p>\r\n\t<p>3.2. Seven Global is NOT a financial institution, commercial bank or direct foreign exchange broker. All foreign exchange transactions, conversions between fiat currencies and stablecoins, local bank settlements (via Pix, TED, ACH or SEPA) and international transfers are processed and settled through partner institutions duly licensed and authorized by the respective competent regulatory bodies.<\/p>\r\n\t<p>3.3. The platform works as a technology interface that connects Users to the most efficient payment rails in the global market, enabling order automation, fee transparency and integration with instant settlement networks.<\/p>\r\n\r\n\t<h3>CLAUSE 4. REGISTRATION, ELIGIBILITY AND QUALIFICATION (KYC\/KYB)<\/h3>\r\n\t<p>4.1. Individuals with full legal capacity (aged 18 or over) and legal entities duly incorporated before the tax authorities of their country of origin are eligible to apply for registration on the platform.<\/p>\r\n\t<p>4.2. The User declares that all information provided during the onboarding process is accurate, complete, up to date and true, and assumes full civil and criminal liability for its accuracy.<\/p>\r\n\t<p>4.3. In strict compliance with Brazilian Law No. 9,613\/1998 and with Anti-Money Laundering and Counter-Terrorist Financing (AML\/CTF) guidelines, the registration approval process may require:<\/p>\r\n\t<ul>\r\n\t\t<li>For Individuals: An official photo ID (Brazilian ID card, driver's license or passport), recent proof of address in their own name and biometric liveness and face-match verification;<\/li>\r\n\t\t<li>For Legal Entities: Consolidated articles of association, CNPJ registration card, balance sheet, income statement, revenue and detailed identification of all Ultimate Beneficial Owners (UBOs) holding a relevant interest;<\/li>\r\n\t\t<li>Automated criminal background checks and screening against national and international restrictive lists (OFAC, UNSC\/UN, PEP and International Sanctions).<\/li>\r\n\t<\/ul>\r\n\r\n\t<h3>CLAUSE 5. TRANSFERS, FEES AND SETTLEMENT<\/h3>\r\n\t<p>5.1. Any transfer or cross-border foreign exchange transaction depends on the User submitting the order, accurately stating the amount, source currency, destination currency and the recipient's bank\/wallet details.<\/p>\r\n\t<p>5.2. Applicable exchange rates (spread), processing fees and network costs will always be itemized and shown to the User transparently before the transaction is formally confirmed.<\/p>\r\n\t<p>5.3. Once confirmed by the User and processed through the settlement rails (such as Pix or blockchain transfer), the transaction becomes irreversible and irrevocable, and no cancellation or refund is allowed given the instant nature of settlements.<\/p>\r\n\t<p>5.4. Average settlement times vary according to the chosen channel (e.g. minutes for transfers via Pix\/Stablecoins and up to 1 to 2 business days for international transfers via ACH\/Wire\/SWIFT), and are subject to possible delays arising from additional compliance reviews by the settlement banks.<\/p>\r\n\r\n\t<h3>CLAUSE 6. USER OBLIGATIONS<\/h3>\r\n\t<p>6.1. The following are the User's sole obligations:<\/p>\r\n\t<ul>\r\n\t\t<li>Keeping their access credentials (login, password, 2FA tokens and API keys) secret and confidential, being responsible for all acts performed under their account;<\/li>\r\n\t\t<li>Ensuring the absolute accuracy of all bank details and recipient identifiers provided, releasing Seven Global from liability for transfers sent incorrectly due to the User's error;<\/li>\r\n\t\t<li>Proving, whenever requested, the lawful origin and economic rationale of the funds moved;<\/li>\r\n\t\t<li>Keeping their registration and tax data permanently up to date on the platform;<\/li>\r\n\t\t<li>Fully complying with the tax obligations arising from international transactions before the competent authorities.<\/li>\r\n\t<\/ul>\r\n\r\n\t<h3>CLAUSE 7. RESTRICTED ACTIVITIES AND PROHIBITED CONDUCT<\/h3>\r\n\t<p>7.1. Use of the Seven Global platform for unlawful purposes, purposes contrary to public order or in violation of third-party rights is expressly prohibited, including, by way of example:<\/p>\r\n\t<ul>\r\n\t\t<li>Money laundering, concealment of assets, corruption, currency evasion or terrorist financing;<\/li>\r\n\t\t<li>Trade in weapons, controlled substances or illegal drugs;<\/li>\r\n\t\t<li>Gambling, illegal betting, unauthorized casinos or unregulated lotteries;<\/li>\r\n\t\t<li>Child pornography or sexual exploitation content of any kind;<\/li>\r\n\t\t<li>Uso de misturadores de criptomoedas (mixers \/ tumblers) ou tentativa de ofusca\u00e7\u00e3o da rastreabilidade on-chain;<\/li>\r\n\t\t<li>Financial fraud, social engineering scams, phishing or breaches of computer systems.<\/li>\r\n\t<\/ul>\r\n\r\n\t<h3>CLAUSE 8. ACCOUNT SUSPENSION AND BLOCKING<\/h3>\r\n\t<p>8.1. Seven Global and its settlement partners reserve the right, at any time and without prior notice in emergency situations, to preventively suspend transactions or block any User's access if any of the following is detected:<\/p>\r\n\t<ul>\r\n\t\t<li>Material inconsistency in, or suspected falsity of, the registration data provided;<\/li>\r\n\t\t<li>Transaction volume incompatible with the declared economic and financial capacity (KYT alerts triggered);<\/li>\r\n\t\t<li>The account holder or beneficiaries appearing on restrictive international sanctions lists;<\/li>\r\n\t\t<li>A court order, a determination by a police authority or the Central Bank, or a request from COAF (Brazil's Financial Intelligence Unit);<\/li>\r\n\t\t<li>Attempts to circumvent the security mechanisms of the platform or the APIs.<\/li>\r\n\t<\/ul>\r\n\t<p>8.2. Seven Global may terminate this agreement for cause and permanently deactivate the User's registration in the event of proven breach of any term of this document.<\/p>\r\n\r\n\t<h3>CLAUSE 9. PERSONAL DATA PROTECTION AND PRIVACY<\/h3>\r\n\t<p>9.1. Seven Global processes personal data in strict compliance with Brazil's General Data Protection Law (Law No. 13,709\/2018 - LGPD) and with the Privacy Policy available on our platform.<\/p>\r\n\t<p>9.2. The User acknowledges that the collection of their registration, financial and biometric data is necessary for the performance of the agreement, compliance with legal and regulatory obligations (especially BACEN's AML\/CTF rules) and fraud prevention.<\/p>\r\n\t<p>9.3. Data may be shared strictly with approved operational partners (technology providers, KYC platforms and settlement financial institutions) and with competent authorities when legally required.<\/p>\r\n\r\n\t<h3>CLAUSE 10. INTELLECTUAL PROPERTY<\/h3>\r\n\t<p>10.1. All intellectual property rights relating to the Seven Global platform, including, without limitation, the trademark, software, layouts, databases, logos, source code and technical documentation, are the exclusive property of SEVEN GLOBAL LTDA or its licensors.<\/p>\r\n\t<p>10.2. Unauthorized copying, modification, reverse engineering, decompilation, distribution or exploitation of any technology component or visual identity element of Seven Global is strictly prohibited.<\/p>\r\n\r\n\t<h3>CLAUSE 11. LIMITATION OF LIABILITY<\/h3>\r\n\t<p>11.1. Seven Global will use its best efforts to keep the platform available 24 hours a day, 7 days a week. Nevertheless, it is not liable for temporary unavailability resulting from scheduled maintenance, technical failures in the User's telecommunications networks or interruptions in third-party services (such as failures in the Central Bank's Pix system, congestion of public blockchains or card networks).<\/p>\r\n\t<p>11.2. Under no circumstances will Seven Global be liable for loss of profits, indirect damages or losses resulting from incorrect bank details entered by the User or from fluctuations in the market value of digital assets between the request and the settlement of the order.<\/p>\r\n\r\n\t<h3>CLAUSE 12. CHANGES AND UPDATES<\/h3>\r\n\t<p>12.1. Seven Global may, at its sole discretion, amend, supplement or update these Terms of Use at any time to reflect technological improvements, new products or adjustments to legislative and regulatory changes.<\/p>\r\n\t<p>12.2. Updated versions will take effect on the date they are published on the platform. Continued use of the services after the changes are published will constitute the User's unequivocal agreement to the new conditions.<\/p>\r\n\r\n\t<h3>CLAUSE 13. COMMUNICATION AND USER SUPPORT<\/h3>\r\n\t<p>13.1. For requests, questions, the exercise of data subject rights or formal notices, the User may contact the support team through the official email address: <a href=\"mailto:contato@sevenglobal.app\">contato@sevenglobal.app<\/a> or through the channels listed on the official website www.sevenglobal.app.<\/p>\r\n\r\n\t<h3>CLAUSE 14. GOVERNING LAW AND JURISDICTION<\/h3>\r\n\t<p>14.1. These Terms of Use are governed by and construed in accordance with the laws of the Federative Republic of Brazil.<\/p>\r\n\t<p>14.2.
